Terms of Service

By accessing or using BoardDrive ("the Service"), operated by BoardDrive ("we," "our," or "us"), you agree to be bound by these Terms of Service. If you are using the Service on behalf of a school district or organization, you represent that you have the authority to bind that organization to these terms.

2. Description of Service

BoardDrive is a web-based platform that helps school boards create, manage, and publish meeting agendas, generate meeting summaries and minutes, and share documents with board members and the public. The Service integrates with Google Workspace for authentication and document management.

3. Accounts and Authentication

You must sign in using a Google account to access BoardDrive. You are responsible for maintaining the security of your Google account and for all activity that occurs under your account within BoardDrive. You must notify us immediately if you become aware of any unauthorized use of your account.

You retain all ownership rights to the content you create or upload through BoardDrive, including agenda text, meeting minutes, and organizational data. By using the Service, you grant us a limited license to host, display, and process your content solely for the purpose of providing the Service to you.

When you publish an agenda, you acknowledge that the published content will be publicly accessible. You are responsible for ensuring that published content complies with applicable open meetings laws and does not contain information that should not be made public.

6. Google Drive Integration

BoardDrive accesses Google Drive files only when you explicitly select them for attachment to agenda items. We do not store copies of your Google Drive documents on our servers. Documents are served directly from Google Drive, and access is governed by your Google Drive sharing settings and permissions.

7. AI-Generated Content

BoardDrive uses artificial intelligence to generate meeting summaries, podcasts, and draft minutes from audio recordings and agenda content. AI-generated content is provided as a convenience and may contain errors or inaccuracies. You are responsible for reviewing, editing, and approving all AI-generated content before publishing or relying on it as an official record.

8. Service Availability

We strive to keep BoardDrive available and reliable, but we do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We are not liable for any downtime or service interruptions.

9. Fees and Payment

Access to BoardDrive may require a paid subscription. Pricing, billing terms, and payment methods will be communicated separately. We reserve the right to change pricing with 30 days' advance notice. Non-payment may result in suspension or termination of access.

10. Termination

Either party may terminate this agreement at any time. You may stop using the Service and request account deletion by contacting us. We may suspend or terminate your access if you violate these terms or if your organization's subscription lapses. Upon termination, we will provide a reasonable period for you to export your data.

11. Intellectual Property

The Service, including its design, code, features, and branding, is owned by BoardDrive and protected by intellectual property laws. These terms do not grant you any rights to our trademarks, logos, or other brand features.

12. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will meet your specific requirements or that AI-generated content will be accurate or complete.

13. Limitation of Liability

To the maximum extent permitted by law, BoardDrive shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, or goodwill, arising out of or in connection with your use of the Service. Our total liability for any claims arising under these terms shall not exceed the amount you paid us in the twelve months preceding the claim.

14. Indemnification

You agree to indemnify and hold harmless BoardDrive and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Service, your content, or your violation of these terms.

15. Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of Minnesota, without regard to its conflict of law provisions. Any disputes arising under these terms shall be resolved in the state or federal courts located in Minnesota.

16. Changes to These Terms

We may update these Terms of Service from time to time. We will notify you of material changes by posting the updated terms on this page with a revised effective date. Your continued use of the Service after changes are posted constitutes acceptance of the updated terms.
